Autel & Cornwell Gas Card Rewards Program
Official Terms and Conditions

1. 1. Sponsor

The Autel & Cornwell Gas Card Rewards Program (“Program”) is sponsored by Autel US Inc., 36 Harbor Park Drive, Port Washington, NY 11050 (“Autel”), in partnership with Cornwell Quality Tools Company (“Cornwell”).

1. 1. Program Period

The Program begins on June 1, 2026 and ends on December 31, 2026 (“Program Period”). Only qualifying purchases occurring within the Program Period will be eligible.

1. 1. Eligibility

The Program is open to:

1. 1. • Authorized independent Cornwell Tools dealers operating within the United States
      • Dealers must be in good standing with Cornwell and Autel at the time of participation and award distribution

Employees of Autel and Cornwell corporate entities are not eligible.

   2. Qualifying Products

Only purchases of eligible Autel tools and equipment designated by Autel qualify for this Program. Autel reserves the right to define and modify eligible products at its sole discretion.

1. 1. Determination of “Gross Purchases”

For purposes of this Program:

1. 1. • “Gross Purchases” means total invoiced purchases of qualifying Autel products during the Program Period
      • The following will be excluded:
        • Returns
        • Refunds
        • Cancelled orders
        • Fraudulent or disputed transactions

All purchase data will be determined solely by Cornwell’s internal records, which are final and binding.

   2. Winner Determination

At the conclusion of the Program Period, eligible dealers will be ranked based on total Gross Purchases.

The top five (5) dealers will be awarded as follows:

1. 1. • 1st Place: $12,000 Gas Card Reward
        (Includes $2,000 intended as a tax assistance supplement)
      • 2nd & 3rd Place: $6,000 Gas Card Reward (each)
        (Includes $1,000 intended as a tax assistance supplement)
      • 4th & 5th Place: $3,000 Gas Card Reward (each)
        (Includes $500 intended as a tax assistance supplement)
   2. Reward Details
      • Rewards will be issued in the form of fuel/gas cards or equivalent prepaid cards, as determined by Autel
      • Rewards are non-transferable and may not be substituted or redeemed for cash, except at Autel’s sole discretion
      • Autel reserves the right to substitute a reward of equal or greater value if necessary
   3. Tax Responsibility

Rewards provided under this Program may constitute taxable income under federal, state, and local tax laws.

1. 1. • The amounts designated as “tax assistance” are provided as supplemental compensation only and may not fully offset tax liability
      • Recipients are solely responsible for all applicable taxes
      • Autel will issue applicable tax reporting forms (e.g., IRS Form 1099) where required
      • Participants must provide a valid IRS Form W-9 prior to receiving any reward.
   2. Compliance and Conduct

Participants agree to:

1. 1. • Comply with all applicable laws, regulations, and industry standards
      • Avoid any conduct that could be interpreted as commercial bribery, improper inducement, or unethical business practices

Autel reserves the right to disqualify any participant engaging in:

1. 1. • Fraudulent activity
      • Manipulation of purchase data
      • Violations of Program rules
   2. Audit Rights

Autel reserves the right to:

1. 1. • Audit all purchase and transactions related to this Program
      • Request supporting documentation
      • Adjust rankings or disqualify participants based on audit findings
   2. Disputes and Final Authority

All decisions regarding:

1. 1. • Eligibility
      • Purchase calculations
      • Winner selection

are at the sole discretion of Autel and are final and binding.

   2. Limitation of Liability

Autel and Cornwell shall not be liable for:

1. 1. • Any technical, administrative, or data errors
      • Lost, delayed, or misreported purchases
      • Any damages arising from participation in the Program or use of rewards
   2. Modification or Termination

Autel reserves the right to:

1. 1. • Modify, suspend, or terminate the Program at any time for any reason
      • Update these Terms and Conditions without prior notice
   2. Governing Law

This Program is governed by the laws of the State of New York, without regard to conflict of law principles.
